What determines when a unit be upgraded to a different type

What determines when a unit be upgraded to a different type - for example, I have 3 Gebirgsjager units - 2 of which can be upgraded to a different unit type and 1 cannot; same with PzKw IV C - 1 yes, 1 no

Core Unit can be upgraded, NoCore Unit can not be upgraded (?)
