Can captures Mathildas or T34 be upgraded?

Yes, both can be upgraded. The captured tanks can only be upgraded to German tanks however. There are 3 versions of the Nebelwerfers, a '41 version, a '42 version & a '43 version. So, you can upgrade them as the newer versions become available if you wish.

+1move makes a nebelwerfer a great companion for pioneers for clearing heavily entrenched infantry.
+1 range is useful for many units but for me a 3 range nebelwerfer, wurfrahmen or maultier is even better than a 2-range Stug3.

On the captured tanks, the B1 makes a good blocking unit and anti-infantry tank until about 1942. The matilda is too slow to be really useful but makes a useful blocking unit and for clearing our bunkers,AA guns and for taking out transports to around about 1942. By the time your own tanks (or other captured units) are better, you should have a hero or two. If the heroes are good, it's probably worth upgrading them. Otherwise either disband them in the deployment phase for the prestige or if at 2 or 3stars experience, keep them in reserve as emergency replacements and for future upgrades. And you can of course build up a collection just to see how much you end up with.

The Nebelwerfer upgrade path consists of 15 cm Nebelwerfer 41 (available Aug. 5, 1940), Wurfrahmen 40 (available May 7, 1941), 21 cm Nebelwerfer 42 (available Mar. 18, 1942), Panzerwerfer 42 (available Apr. 4, 1943), and lastly the 30 cm Nebelwerfer 43 (available July 1, 1943). You can upgrade any artillery to a panzerwerfer (once it's available) but you pay full cost when it's out of the 'family'.
