Hi John,
the first step is to work out which version of Legion Arena you have. Where did you get it from and which publishers logo's are on the box.
Make sure you have installed the latest version of DirectX that comes on the disk.

the publisher is either LAGO Srl or Black Bean and i purchased this copy on EBAY and the game is copyrighted for 2005 although a version is not stated or i cannot find it.

Have you installed the latest version of DirectX? Can you give us a full list of your system specs.

The problem looks to be your internal graphics card combined with your RAM. These built in cards use memory from the computer's RAM, as they do not have their own, so you actually have 256MB RAM minus the graphic cards requirements. Even with more RAM this card may not be able to play the game as it is borderline below spec.
These onboard cards are generally not great for games, but so many of the big computer makers are using them as they are much cheaper to produce. Unfortunately it looks like you will need to get a new card to play the game.
