How exactly does "replace" and "elite replace" work? At times I cannot replace units even though I have the points and they are not next to an enemy etc.

Sounds like you don't have enough spare parts for that unit using captured or prototype equipment. Replace button should give you a message about why you can't replace when you hover over it.
