Hmm. I tried adding a couple of test destroyers for upgrade, and they also don't work. Does the game not support naval unit upgrades in port hexes?
Armoured train would be one of those that can't upgrade, similar to navy. Inf, Tank, AA, Art, etc. (anything normally prchaseable) has the best chance of working. Perhaps units in port hexes cannot be upgraded. Maybe hard-coded?

Besides installing the U-boat mod folder into the My Documents/Games/Panzer Corps/Mods folder, did you also install the U-boat mod folder into the main game directory using JSGME utility? I haven't tried any naval ones, but given my strange experiences with switchable units, have you checked which state the subs are in when you try to upgrade? Strictly speaking they should be on the surface. However, BiteNibbleChomp's unit upgrade action should be a workable fix. If you do that, you could also set a prestige action to deduct a fee if you don't reckon the player deserves a free upgrade.
